OFFICERS
1.
PRESIDENT: The president shall be the chief
executive officer of the association. He
shall preside at all meetings of members and directors.
He shall have general and active management of the Association.
He shall see that all orders and resolutions of the Board of Directors
are carried into effect, subject, however to the right of the Directors to
delegate any specific power, expect such as may be by statute exclusively
conferred upon the President, to any other officer or officers of the
Association. He shall execute or
cause to be executed all contracts of the Association.
He shall appoint any and all committees which in his discretion are
necessary or proper and he shall be a member on all said committees; he shall
have the general powers of supervision and management usually vested in the
office of the President.
2.
VICE PRESIDENT: In the absence of the President, or
in case of disability of the President, the Vice President shall perform the
functions of the office of the President.
3.
SECRETARY: The Secretary shall attend all sessions
of the Board of Directors and act as clerk thereof, and record all votes and the
minutes of all proceedings in a book to be kept for that purpose, and shall
perform like duties for the standing committees when required.
The Secretary shall give, or cause to be given, notice of all meetings of
the members and the Board of Directors or President.
The Secretary shall be an ex-officio member of all committees.
4.
TREASURER: The
Treasurer shall keep full and accurate accounts of the receipts and
disbursements in books belonging to the Association and shall deposit all monies
and other valuable effects in the name of, and to the credit of, the Association
in such depositories as may be designated by the Board, or on the order of the
Executive Committee, taking proper vouchers from such disbursements and shall
render to the President and Directors at the regular meeting of the Board of
Directors or whenever they may require it, an account of all transactions as
Treasurer and of the financial condition of the association.
The Treasurer shall, if requested or required, give the Association a
bond to be paid for by the Association in such sum and with such sureties as may
be satisfactory to the Board for the faithful performance of the duties of his
office, and the restoration to the Association in case of his death, resignation
or removal from office, all books, papers, vouchers, money and other property of
whatever kind in his possession belonging to the Association.
Annually, the Treasurer shall publish a year-end financial statement.
The office of Secretary and treasurer may be held by the same person if
the Directors deem it advisable.
